These Terms of Service (“Terms”) govern your access to and use of Formwork Advisory (“Formwork,” “the Service,” “we,” “us,” or “our”), an AI-powered business advisory service. Formwork is operated by Benjamin Sullivan, a sole proprietor based in Ontario, Canada. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Definitions
- “Formwork,” “we,” “us,” “our” — Benjamin Sullivan, operating the Formwork service.
- “Service” — the Formwork website, application, and the AI advisory experience it provides.
- “You,” “User” — any person who accesses or uses the Service.
- “Team” — the named AI advisors within the Service, including the intake (Nathan), the validation Council, and the ongoing advisors.
- “Briefing” — a structured document produced for you at the end of a validation session.
- “Path A” — a one-time single-validation purchase.
- “Subscription” — an ongoing paid plan giving access to the full Team.
2. Acceptance of these Terms
By creating an account or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you are using the Service on behalf of a business, you confirm you have authority to bind that business to these Terms.
3. Changes to these Terms
We may update these Terms from time to time. If a change materially affects your rights, we will give registered users at least 30 days’ notice by email before it takes effect. Your continued use of the Service after the effective date of a change means you accept the updated Terms. The version in force when you place an order applies to that order.
4. Eligibility
You must be at least 18 years old to use the Service, and you must provide accurate and complete information when you register. The Service is intended for people building or running a business or venture.
5. Accounts and security
You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. Notify us promptly at the contact address in §25 if you believe your account has been accessed without your authorization.
6. What the Service is
Formwork provides an AI-powered advisory experience: a persistent team of named AI advisors that runs an intake, pressure-tests your business idea through a validation Council, produces an honest validation with a score and conditions, and — on a subscription — continues to work with you over time, remembering your business across sessions.
7. AI-generated outputs — important
The Service is delivered through artificial intelligence. The validations, scores, conditions, advice, Briefings, and all other outputs are generated by AI systems and are decision-support material only. They are not professional, legal, tax, financial, medical, or investment advice, and they are not a substitute for a qualified professional.
AI outputs may contain errors, omissions, or inaccuracies. You are solely responsible for independently verifying any output and for any decision you make based on it. Formwork does not guarantee any particular business result, and a validation score — high or low — is an opinion generated by the Service, not a promise or a guarantee of outcome.
8. Payment and billing
Paid plans are described on our Pricing page. Payments are processed by our third-party payment provider (Stripe); we never receive or store your full card details. By purchasing, you authorize the applicable charge.
- Path A is a one-time charge.
- Subscriptions renew automatically each billing period at the then-current price until you cancel.
We may change our prices, but a price change will not affect a Path A purchase already made or the current billing period of an existing subscription; changes apply to future renewals. If a payment is disputed or charged back, we may suspend your account while the matter is resolved.
9. Refunds and cancellation
- Path A (one-time): Your purchase is refundable until you send your first message in the Council chat. You can open the chat, see Nathan, and get a sense of what you’re about to do — and still opt out if it isn’t for you. Once you send a message, the session is underway and the purchase is non-refundable.
- Subscriptions: If you have subscribed and have not started any session within 7 days, you can request a full refund. Once you’ve used a session — meaning you’ve sent at least one message to a team member — the period is non-refundable.
- Cancellation: You can cancel a subscription at any time to stop future billing. Cancellation takes effect at the end of your current billing period; the current period is not refunded, but you keep full access until it ends. Your accumulated Briefings, history, and team progress are preserved in your account, and you can reactivate later and pick up where you left off.
10. Intellectual property
Our property. The Service itself — including its software, source code, design, the advisor architecture and system design, and the Formwork name and branding — is owned by us and protected by intellectual property law. You may not copy, reproduce, or create derivative works of the Service without our written consent.
Your property. You retain ownership of the inputs you provide (your business ideas and everything you tell the Team) and of the outputs produced for you (your Briefings). We grant you a non-exclusive, perpetual licence to use those outputs for any lawful purpose. You are responsible for ensuring that your use of any output does not infringe the rights of others.
11. Acceptable use
You agree not to use the Service to:
- generate, store, or distribute illegal or harmful content, including hate speech, harassment, threats, or material that exploits or endangers minors;
- attempt prompt-injection, jailbreaks, or other adversarial actions against the AI systems;
- scrape, crawl, mirror, or extract content from the Service by automated means without our written consent;
- reverse engineer, decompile, or attempt to derive the source code or underlying architecture of the Service;
- infringe the intellectual property, privacy, or other rights of any third party; or
- use the Service for any unlawful, fraudulent, or deceptive purpose.
12. Your data and privacy
How we handle your personal data is described in our Privacy Policy. We do not use your data to train AI models without your explicit consent, and you can request deletion of your account and data at any time from your account settings. Please review the Privacy Policy for full details.
13. Service availability
The Service is provided on a best-effort basis. We do not guarantee any particular uptime or service level, but we will make reasonable efforts to keep the Service available and to give advance notice of planned maintenance where reasonably possible.
14. Disclaimers and limitation of liability
The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
To the maximum extent permitted by applicable law, we will not be liable for any indirect, incidental, or consequential losses, including lost profits, lost business opportunities, or losses arising from your reliance on AI-generated outputs. Our total liability to you for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the 12 months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under applicable law.
15. Suspension and termination
You may close your account at any time from your account settings or by contacting us. We may suspend or terminate your access if you breach these Terms, in cases of fraud, chargeback, abuse, or a risk to the security of the Service or other users. Where reasonable, we will give notice; suspension may be immediate where needed to protect the Service or others.
16. Service providers (sub-processors)
We rely on trusted third-party providers to operate the Service, including for hosting, database and storage, payments, email, analytics, error monitoring, and the AI models that power the Team. The current list is set out in our Privacy Policy.
17. AI transparency
You are interacting with an AI system. The advisors, scores, and Briefings produced by the Service are generated by artificial intelligence, not by a human advisor.
18. Indemnification
You agree to indemnify and hold us harmless from any third-party claim, liability, damage, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, your use of the outputs, or the content of the inputs you submit.
19. Third-party links
The Service may contain links to third-party websites. We have no control over and are not responsible for the content of those sites.
20. Force majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control.
21. Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be replaced by a valid one that most closely reflects its intent.
22. Survival
Provisions that by their nature should survive termination — including §7 (AI outputs), §10 (intellectual property), §14 (liability), §18 (indemnification), and §12 (data) — remain in effect after these Terms end.
23. Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of the business, provided the recipient agrees to honour them.
24. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ontario.
